Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Zyberon, the AI operations platform for ecommerce (the “Service”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a company, you confirm you are authorized to bind that company. Zyberon is built for business use.

01Your account

You must provide accurate information when creating your account and keep your credentials secure. You are responsible for all activity that occurs under your account and your organization workspaces.

You must be authorized to connect every third-party account (Shopify, Meta, TikTok, Google, email, Slack) and every AI provider API key you add to Zyberon. Connecting an account you are not authorized to use is a violation of these Terms.

02Subscription and billing

The Service is offered as a single monthly subscription: $99 for your first month, then $249/month, billed in EUR, GBP, or USD at the same rate depending on your billing region. Prices exclude VAT and any applicable taxes, which are added at checkout where required.

Your subscription renews automatically each month until cancelled. You can cancel at any time from your dashboard; cancellation stops future charges and takes effect at the end of the current billing period. See the Refund & Cancellation Policy for details, including your statutory rights.

We may change the subscription price with at least 30 days' notice before the change takes effect; if you do not agree, you may cancel before the new price applies. The recurring price at launch is $249 per month.

03AI processing and bring-your-own keys

The Service operates by sending data you provide or connect (for example support emails, order details, product information, and prompts) to third-party AI providers — currently OpenAI, Anthropic, Google, and Higgsfield — to generate responses, content, and media. Those providers process, and may retain, data in accordance with their own terms and policies. Where you connect your own API key, your direct agreement with that provider governs that usage and its cost.

AI-generated output can be inaccurate, incomplete, or unsuitable. You are responsible for reviewing output before relying on it or publishing it. The Service provides review queues and approval steps for consequential actions; disabling or bypassing them is at your own risk.

We may add, replace, or remove specific AI models or providers to keep the Service working; we will not materially reduce the overall capability of your plan without notice.

04Your content and your responsibility

You retain ownership of the data you bring to the Service and of the content you generate with it (“User Content”), to the extent permitted by the AI providers' terms. You grant Zyberon a limited license to host and process User Content solely to operate the Service for you.

Everything you create, publish, or send with the Service — product pages, quizzes, ads, videos, social posts, customer emails, and any other output — is entirely your responsibility. Zyberon is a tool provider, not a publisher, agency, or co-author, and does not review or endorse User Content.

You warrant that your User Content and its use (a) do not infringe any third party's intellectual property, image, privacy, or other rights; (b) comply with all applicable law, including advertising, consumer-protection, health/medical-claim, and data-protection law in every market you target; and (c) comply with the policies of every platform you publish to (including Shopify, Meta, TikTok, and Google). This includes claims, pricing, discounts, scarcity messaging, and reviews or testimonials in content you choose to publish.

05Acceptable use

You agree not to use the Service to: send spam or unsolicited communications; create or distribute deceptive, fraudulent, defamatory, or illegal content; generate fake reviews, fake testimonials, or fabricated social proof; infringe intellectual-property rights; harass or harm others; sell prohibited or unlawful goods; probe, disrupt, overload, or reverse-engineer the platform; circumvent usage limits or access controls; or resell access to the Service without our written agreement.

We may set and adjust fair-use limits (for example on media generation) to keep the Service reliable for everyone. Systematic abuse of limits is a violation of these Terms.

06Enforcement

If you violate these Terms, we may — proportionate to the violation — warn you, suspend your account, remove or unpublish content created or distributed through the Service, or terminate your account. For serious or repeated violations, termination may be immediate and without refund of amounts already paid, except where a refund is required by mandatory law.

We may report unlawful activity to platforms, payment providers, or authorities where we are legally required or permitted to do so.

07Intellectual property

The Service — including its software, design, and branding — is and remains the property of Zyberon and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your own business while your subscription is active. No rights are granted except as expressly stated.

08Third-party platforms

The Service connects to third-party platforms (Shopify, Meta, TikTok, Google, Slack, email providers, Stripe, and AI providers). Your use of those platforms is governed by their own terms, and actions the Service performs on your behalf count as your actions on those platforms. We are not responsible for changes, outages, or decisions of third-party platforms, including account restrictions they impose on you.

09Availability and changes to the Service

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may update, improve, or modify features over time.

We may update these Terms. If a change is material we will notify you (for example by email or in-app) before it takes effect; continued use after the effective date constitutes acceptance.

10Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We make no guarantee of business results — including revenue, profit, advertising performance (such as ROAS), support-resolution rates, or search rankings. Any figures on our website are capability descriptions or illustrative examples, not promises.

11Limitation of liability

To the maximum extent permitted by law: (a) Zyberon is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill; and (b) Zyberon's total aggregate liability arising out of or relating to the Service is limited to the amounts you paid to Zyberon in the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for intent or gross negligence, or your non-waivable statutory rights as a consumer where consumer law applies.

12Indemnification

You will defend, indemnify, and hold harmless Zyberon and its officers, employees, and agents from and against any claims, damages, fines, and costs (including reasonable legal fees) arising out of or related to: (a) your User Content, including content you generate and publish with the Service; (b) your violation of these Terms or of applicable law; or (c) your violation of any third party's rights or of a third-party platform's policies.

13Governing law and contact

These Terms are governed by the laws of the Netherlands, without prejudice to any mandatory consumer protections of your country of residence. Disputes will be brought before the competent court in the Netherlands, unless mandatory law grants you another venue.
